Job Description

Secretarial Matters:

  1. Able to manage secretarial activities of a company and should be aware of compliances with various provisions of the Companies Act, 2013 including Secretarial Standards, Listing Obligations and Disclosure Requirements (LODR), applicable guidelines / notifications issued by the Reserve Bank of India.
  2. Convening, preparing agenda and minutes for various meetings of the Board/Committees of the Board and Shareholders of the Company.
  3. Handling Secretarial, Internal and Statutory Audits.
  4. Preparation & maintenance of Statutory Registers as required under Companies Act, 2013.
  5. Preparation of Annual Report including Board’s Report & Corporate Governance Report of the Company.
  6. Preparing and filing of various E-forms with Ministry of Corporate Affairs & filings with respect to FEMA regulations.
  7. Ensuring secretarial activities are in compliance with Shareholders Deed


Compliance Matters:
  1. Able to understand and monitor compliance of laws and regulations applicable to the Company including compliances relating to Foreign Direct Investments, non-banking financial company and debt listing regulations.
  2. Formulating and ensuring timely updation of various policies as applicable under various laws.
  3. Coordinating and reporting to regulatory agencies (including RBI, SEBI, stock exchanges, MCA etc.), internal/external stakeholders.
  4. Tracking and reporting compliance through automated compliance tool.
