Job Description
Job Requirements:
•Law graduate, with an experience of 4-10 years – particularly in corporate laws;
•Should possess sound knowledge of laws including Indian Trusts Act, SEBI, FEMA, Companies Act etc.
•Effectively handles multiple projects or tasks at the same time. Is open to and responds flexibly to change;
•Initiative and self-motivation;
•Excellent verbal and written communication skills.
•Strong Organizational Skills
Job Responsibilities:
•To assist in structuring and drafting trust deed of private family trust/s, gift deeds, Wills;
•To assist in drafting and reviewing of various commercial contracts such as investment agreements, shareholders agreement, share subscription agreement, non-disclosure agreements, lease agreements, sale deeds and other real estate matters, etc.;
•To review the MoA, AOA of the Companies, LLP Agreements, Partnership Firms etc. and to advice on the regulatory compliances applicable to them;
•Collaborating with various stakeholders, structuring and documentation at all stages of the transactions;
•Identify and evaluate impact of ongoing regulatory changes related to Indian Succession Act, Indian Trusts Act, SEBI, Companies Act, LLP Act;
•To conduct legal due diligence on companies with respect to the various corporate transactions;
•Providing legal advice to the business, support functions in connection with equity and equity/debt instruments, private equity transactions etc.
•To research and advice on various general legal, regulatory and other legal matters.
