JobRequirements:

• CharteredAccountant
• Additional qualificationssuchas Company Secretary, LLB etc. would be preferred
• Postqualification working experience of 5-7 years
• Work experience incorporate tax and / or M&A tax
• Preparation and filing of corporate taxreturns
• Direct tax litigation and tax due diligence reviews
• Strong experience in tax structuring

• Transactions, group reorganizations, tax efficient acquisitions and disposals of shares orbusinesses
• Implementation of scheme of arrangement, scheme ofamalgamation, capital reduction etc.through NCLT
• In-depth analysis and research of direct tax lawsandjudicial precedents-Corporate Laws,SEBI Laws & Regulations, FEMA (inbound & outbound) and FDI Policy, Stamp Duty and alliedlaws;
• Advisory for share buy-backs
• Inbound and outbound investment structuring
• Vendor and buy side tax due diligence reviews and prepare detailed tax due diligence review reports.

• Laws and Rules–Understanding of direct tax laws (including international taxationpreferably), Corporate Laws, SEBI Laws and Regulations, FEMA Regulations (inbound,outbound and ECB etc.), Stamp Duty laws, basic understanding of accounting and accountingstandards to determine their implications on clients
• Corporate restructuring–research, data analysis, understanding of financial statements,ability to interpret laws and evaluate implications from tax and regulatory perspective
• Deal Structuring–Evaluate tax and non-tax considerations
• Documentation–Review key transaction documentation (e.g., share purchase agreement,business transfer agreements and key transaction documents) to quantify impact to clientand recommend changes to protect client interests
• Due Diligence–Conducttaxduediligencestoidentifypotentialtaxexposures
• Tax Structuring experience
• Analytical Thinking and Problem Solving-Effectively organize and presents complex issues,results, and recommendations to project team and clients
• Computer / IT skills: Expert knowledge of power point presentations; working knowledge ofMS Word and MS Excel; Basic Computer/IT skills;
